Bank Clothiers' offered to buy bigger rival Men's Wearhouse for about $2.3 billion to create a men's apparel heavyweight with more than 1,700 stores -- a proposal that Men's Wearhouse swiftly rejected. The offer of $48 a share in cash is a 36 percent premium to the closing price of Men's Wearhouse shares on Tuesday. Men's Wearhouse (MW) shares opened at $43.35 on the New York Stock Exchange, after hitting $47 before the bell. Jos. A. Bank's (JOSB) shares were up 5.4 percent at $43.90 on the Nasdaq. The offer, which comes at a time of intense competition in the men's suit market, would be funded by a combination of cash-on-hand, debt and new equity, including a $250 million investment by Golden Gate Capital, Jos. A. Bank said. However, Men's Wearhouse said the non-binding offer undervalued the company and could raise anti-trust issues. The "highly opportunistic" proposal also didn't reflect the company's growth strategy and upside potential, Bill Sechrest, lead director of the Men's Wearhouse board, said in a statement. "The challenging second quarter results led to a 12 percent decline in Men's Wearhouse's stock price, which Men's Wearhouse believes doesn't fairly reflect the intrinsic value of Men's Wearhouse shares," the company said. Men's Wearhouse shares, which hit a year-high of $41.02 in August, last traded above the offer price exactly six years ago. Gastar Agreement: On April 1st it was announced that Gastar Exploration, Ltd. (GST) had entered into a definitive agreement to acquire proven reserves and undeveloped leasehold interests in Kingfisher and Canadian counties of Oklahoma from Chesapeake Energy Corporation, repurchase Chesapeake's common shares of the Company and settle all litigation for $1 million. Although smaller in scope than most of Chesapeake's previous asset-shedding transactions, the agreement with Gastar accomplishes two things. First, is the fact the settlement resolves the legal wrangling both companies were engaged in and as a result Chesapeake walks away with $85 million of the potential $130 million they were suing for. Second, is the fact Chesapeake wipes it hands of acreage, that although producing, may not be producing as much as Chesapeake had once hoped, and therefore was worth much more to Gastar in the long run.

In PVR natural gas is delivered into the 24-inch diameter Wyoming pipeline and the Hirkey Compressor Station. In Tennessee Gas Pipeline natural gas is delivered into this looped 30-inch diameter pipeline (TGP Line 300) at three different locations can be received in the Northeast at points along th! e 300 Lin! e path, interconnections with other pipelines in northern New Jersey, as well as an existing delivery point in White Plains, New York.
Niobrara Shale Region
The Company's gathering systems in the Niobrara Shale region are located in Converse County, Wyoming and consist of two interconnected gathering systems and 79 miles of pipeline. During 2012, average throughput in the Company's Niobrara Shale region was 0.013 billion cubic feet per day. The Company connects its gathering systems to receipt points,which are either at the individual wellhead or at central receipts points into which production from multiple wells are gathered. The Company's Niobrara gathering systems are connected to two downstream transportation pipelines: Tallgrass/Douglas Pipeline and North Finn/DCP Inlet Pipeline. Apollo Residential Mortgage, Inc. is a holding company, which conducts its business primarily through ARM Operating, LLC and its other operating subsidiaries. I sat down this morning and spent some time looking for cheap stocks that might do well regardless of market action in 2014. While bargains are scarce there are still a few to be found. One such bargain is mortgage REIT Apollo Residential Mortgage (AMTG). The stock is trading at less than 80% of quarter-end book value, and management also announced a $50 million share buyback at the same time. There may be some erosion of book value as they look to adopt more credit-sensitive portfolio policies, but I doubt it will be substantial.

Residential mortgage-backed securities REIT�Apollo Residential Mortgage (NYSE: AMTG ) announced yesterday its second-quarter dividend of $0.70 per share, the same rate it's paid for the past three quarters after lowering the payout almost 18% from $0.85 per share.
